I. Your Obligations
a. Your access to the Documentation is limited to your access to use on an authorized and potentially credentialed (at Prove’s sole discretion) basis. Prove, in its sole discretion, shall have the right to invalidate, revoke, or otherwise prevent or limit your access to theDocumentation.
b. You will not, nor permit any third party to:
i. share, transfer, resell, bundle, rent, distribute, sublicense, or otherwise make the Documentation available except as expressly set forth herein and subject to all the controls and protections set forth herein;
ii. attempt to gain unauthorized access to, or disrupt the integrity or performance of, theDocumentation, Prove Solutions, or the data contained therein;
iii. copy, adapt, modify, translate, copy, disassemble, decipher, decompile, reverse engineer, create derivative works of, or make any attempt by any means to discover or obtain the source code, underlying ideas or algorithms, or other proprietary information or Documentation;
iv. use the Prove Solutions or permit it to be used, for purposes of product evaluation, benchmarking or other comparative analysis intended for publication without Prove’s prior written consent;
v. use the Documentation for marketing purposes;
vi. use the Documentation to transmit any communication that would violate any applicable federal, state, or local law, court order, regulation, statute, or ordinance; or
vii. Use the Documentation in a manner that violates any agreement between you or any third party.
II. Prove’s Rights
a. Prove shall have the right to:
i. from time to time in its sole discretion, modify or enhance the Documentation and/or the Terms, and any such modifications or enhancements are deemed part of theDocumentation and/or the Terms; and
ii. inits sole discretion, suspend your right to access and use some or all of the Documentation if it believes that you have used the Documentation in an illegal manner or ifProve reasonably believes that your use of the Documentation is in violation of the Terms.
III. Intellectual Property and ConfidentialityObligations
a. You understand and agree that the Documentation, along with all of Prove’s names, logos, trademarks (whether registered, unregistered, or otherwise), inventions (whether issued, pending, or otherwise), trade secrets, and other intellectual property is Prove’s intellectual property, and Prove retains all rights, title, and interest in and to such Documentation and intellectual property.
IV. Limitation of Liability
a. Prove will have no liability with respect to claims arising from your interpretation or use of the Documentation or decisions and actions allegedly based upon such Documentation.
